These Terms and Conditions ("Terms") govern your use of giveaways.com and any associated applications (the "Platform"), operated by Gamzingo LLC, a limited liability company formed in the State of Delaware, United States, file number 10650438, whose registered office is at 16192 Coastal Highway, Lewes, Delaware 19958, County of Sussex ("Gamzingo", "we", "us", "our").
By creating an account or using the Platform, you agree to these Terms, our Privacy Policy, our Sweeps Rules, and our Responsible Social Gameplay Policy. If you do not agree, you must not use the Platform.
The Platform offers two entirely separate play formats:
Gold Coin Play. A social casino format played with Gold Coins ("GC"). Gold Coins have no monetary value, cannot be redeemed for cash or prizes, and can only be used to play Gold Coin games. Gold Coins may be purchased, or obtained free of charge through promotions and replenishment.
Sweeps Coin Play. A promotional sweepstakes format played with Sweeps Coins ("SC"). Sweeps Coins cannot be purchased under any circumstances. They are available only through free promotional methods, including a free Alternative Method of Entry ("AMOE") described in our Sweeps Rules. Sweeps Coins that have been played through may, subject to the conditions in the Sweeps Rules, be redeemed for prizes.
The two formats are entirely separate. Balances, gameplay and outcomes in one format have no effect on the other. Gold Coins can never be converted into Sweeps Coins, and Sweeps Coins can never be converted into Gold Coins. Purchasing Gold Coins does not increase your chance of winning in any Sweeps Coin game.
No gambling. The Platform does not offer gambling. Gold Coin play awards no prize other than further Gold Coins. Sweeps Coin play requires no purchase or payment of any kind.
To open an account and use the Platform you must:
You may hold one account only. Accounts are personal to you and may not be sold, transferred, shared or operated on another person's behalf.
We may request documentation to verify your identity, age, location or payment method at any time.
The Platform is available only in permitted jurisdictions. We use IP-based and third-party geolocation technology to enforce these restrictions.
Sweeps Coin Play is not available in: California, Connecticut, Idaho, Indiana, Louisiana, Maine, Michigan, Montana, Nevada, New Jersey, New York, Tennessee and Washington.
All play (including Gold Coin Play) is unavailable in: Connecticut, Indiana, Louisiana, Maine, Michigan, Montana, Nevada, New Jersey, New York and Washington.
The current list of excluded jurisdictions is maintained at /restricted-states and may change at any time as laws change. Attempting to circumvent geographic restrictions — including by use of any method to disguise your location — is a material breach of these Terms and may result in immediate account closure and forfeiture of Sweeps Coins.
You are responsible for keeping your login credentials secure and for all activity on your account. Notify us immediately at security@giveaways.com if you believe your account has been accessed without authorisation.
We may suspend, restrict or close an account where we reasonably believe that:
Where an account is closed for a breach of these Terms, unredeemed Sweeps Coins may be forfeited. Gold Coins carry no monetary value and are never refundable or redeemable in any circumstance.
Gold Coins are a limited, personal, non-transferable, revocable licence to use a virtual in-game item. You do not own them. They:
You are never required to purchase Gold Coins. If your Gold Coin balance is depleted, you may continue to play Gold Coin games using free Gold Coins provided through our replenishment feature and other promotional methods.
We do not recognise or permit any sale, gift, trade or transfer of Gold Coins outside the Platform, and any such purported transaction is void.
Sweeps Coins cannot be purchased. They may be obtained only through:
Where Sweeps Coins accompany a Gold Coin purchase, your payment is made solely for the Gold Coins. No part of any payment is consideration for Sweeps Coins, which are provided free of charge.
There are two types of Sweeps Coin:

Gold Coin packages are sold at the prices displayed at the time of purchase. Payments are processed by our third-party payment providers; we do not store your card details.
All purchases are final. Because Gold Coins are delivered immediately and consumed on use, purchases are not refundable except:
If you believe a charge is incorrect, contact support@giveaways.com before initiating a chargeback. Initiating a chargeback without contacting us may result in account suspension pending investigation.
You are responsible for any taxes arising from prizes you receive.
Outcomes in all games are determined by a random number generator. Each game's rules and pay table are made available before you play.
Where a game offers provable fairness, we publish the server seed hash, your client seed, the nonce and the formula used, so you can independently verify the outcome. Verification details for a given round reflect the game configuration that applied to that round.
We may correct any error in a game, pay table, balance or transaction, and may reverse any outcome or adjustment resulting from a defect, error, malfunction or manipulation. Where a game or round is interrupted, we will resolve it in accordance with that game's rules.
You must not:
All content on the Platform, including software, games, graphics, text and trade marks, is owned by Gamzingo or its licensors. You are granted a limited, personal, non-exclusive, revocable licence to use the Platform for personal, non-commercial entertainment. No other rights are granted.
We may modify, suspend or discontinue any part of the Platform, including any game, promotion or feature, at any time. We may amend these Terms; material changes will be notified to you and the "last updated" date above will change. Continued use after a change constitutes acceptance.
If we permanently discontinue the Platform, we will give reasonable notice and a reasonable period in which to redeem eligible Redeemable Sweeps Coins.
To the fullest extent permitted by law:
Nothing in these Terms excludes liability which cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
You agree to indemnify and hold harmless Gamzingo, its officers, directors, employees and agents against any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or your violation of any law or third-party right.
Governing law. These Terms, and any dispute arising out of or relating to them or to the Platform, are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Gamzingo LLC is formed under Delaware law and maintains its registered office there.
Informal resolution first. Before commencing any formal proceeding, you agree to contact us at legal@giveaways.com with a written description of the dispute and to attempt in good faith to resolve it for a period of thirty (30) days.
Binding arbitration. If the dispute is not resolved informally, it shall be finally resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be seated in Wilmington, Delaware, though you may elect to participate by telephone or video, or to have the matter decided on written submissions where the AAA rules allow. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You and Gamzingo each agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim shall be severed and heard in a court of competent jurisdiction in Delaware, and the remainder shall proceed in arbitration.
Small claims and injunctive relief. Either party may bring a qualifying claim in small claims court instead of arbitration. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or account security.
Opt-out. You may opt out of arbitration and the class action waiver by written notice to legal@giveaways.com within thirty (30) days of first accepting these Terms, stating your name, your account email address, and a clear statement that you opt out of arbitration. Opting out will not affect any other part of these Terms, and will not disadvantage you in any way.
Costs. Payment of arbitration fees is governed by the AAA Consumer Arbitration Rules. Where those rules require us to bear the majority of the filing and arbitrator fees, we will do so.
Time limit. Any claim must be brought within one (1) year of the event giving rise to it, or it is permanently barred, except where a longer period is required by law.
Changes to this section. If we materially change this Section 14, you may reject the change by written notice to legal@giveaways.com within thirty (30) days, in which case the previous version continues to apply to you.
Severability. If any provision is held unenforceable, the remainder continues in effect.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms. We may assign them to an affiliate or successor.
Entire agreement. These Terms, together with the Privacy Policy, Sweeps Rules and Responsible Social Gameplay Policy, constitute the entire agreement between you and us regarding the Platform.
